Terms and Conditions of fellow foodies membership and website usage

Welcome to our website. If you continue to browse and use this website or become a member, you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy govern ‘Fellow Foodies’ relationship with you in relation to this website. If you disagree with any part of these terms and conditions, please do not use our website or become a member.

Definitions

In these Terms and Conditions the following terms and references shall have the following meaning:

 ‘Member’

means membership granted to an individual whose registration and Membership fee  is received by the Club from 1 March 2011 onwards;

‘Membership’

means online membership benefits for individuals including; foodie experiences, website, blogs, food critic opportunities, e newsletter;

‘Honorary Members’

means membership granted to an individual or company, at the discretion of the Proprietor, that may be conferred to a person or organisation that has rendered special assistance to the Club or whose products or services have been highly rated by the Members in a formal review;

‘Club’

means ‘fellow foodies’, a trading name of Fellow Foodies Limited, a company registered in England & Wales (number 06262642), whose registered office is at The Chocolate Factory, 5 Clarendon Road, London N22 6XJ;

‘Enrolment Date’

means the date a Member joins the Club, pays the annual Membership Fee and who subsequently becomes a Member of the Club;

‘Members area’

means the section of the Website which is accessible to Members only using the password issued to Members when they become a Member of the Club;

‘Proprietor’

means Fellow Foodies Limited (company registered number 06262642) whose registered office is at The Chocolate Factory, 5 Clarendon Road, London N22 6XJ;

‘Director’

means the Director of the Club, whose address is at Fellow Foodies Limited

‘Website’

means the Club website at: www.fellowfoodies.co.uk

‘Experience’

means any event organised by the Club e.g. workshop, demonstration, tutored tasting, restaurant event, tour or visit.

Name

The name of the Club is ‘fellow foodies’.

Objects

The objects of the Club are:

  • To encourage people to taste, discover and enjoy great food
  • To promote understanding of food, where good food comes from, how it is produced and the people who produce it
  • To share information and experiences between members

The Club

The Club is a proprietary club owned by the Proprietor.

The Proprietor is responsible for providing the Club with all necessary benefits and services for carrying on the Club in accordance with these objects and Terms & Conditions.

The Members of the Club are under no financial liability by reason of their membership to the Club.

Membership

The Club members jointly consist of Members who have paid an annual Membership fee and Honorary Members, together the ‘Members’.

An annual membership is offered, subject to the payment of an annual Membership fee. It includes the specified membership services for a 12 month period, subject to the Member keeping in touch with the Club to maintain up to date contact details.

Honorary Members may not be required to pay an Annual Membership Fee.

Members are required to confirm any change of contact details in order to maintain their fellow foodies subscription.

The Proprietor reserves the right to expel or suspend any Member.

When an individual has paid the first Membership Fee and has joined the Club, she/he is a Member of the Club and entitled to all the privileges and benefits of membership and is deemed to have agreed to be bound by these Terms & Conditions.

Once a Member has been accepted to the Club, she/he will be issued with a password to allow access to the Members areas of the Website.

If a Member resigns Membership to the Club and at a later date wishes to rejoin the Club, she/he will be treated as a new Member and be required to join again at whatever the current subscription rate and terms are at the time.

Termination of Membership

A Member may resign Membership at any time in writing delivered to the Director at the Fellow Foodies address, specifying when the resignation is to take effect. A resigning Member forfeits all the rights, privileges and benefits of Membership forthwith upon resignation and is not entitled to any refund of any kind.

The Proprietor may expel any Member from the Club (or suspend Membership for a specific period), whose conduct, in the sole opinion of the Proprietor, might be injurious to the character or interest of the Club or bring the Club into disrepute.

Before a Member is expelled or suspended, the Member’s alleged conduct must be inquired into and the Member involved must be given the opportunity to defend her/himself and to justify or explain her/his behaviour.

Once an inquiry has been made into the events, if the Proprietor is of the opinion that the Member is guilty of such conduct that would be injurious to the character or interest of the Club or bring the Club into disrepute and has failed to justify or explain such events satisfactorily, the Proprietor may either expel or suspend the Member at its discretion.

Once a Member has been expelled she/he forfeits all the rights, privileges and benefits of Membership and is not entitled to any refund of any kind.

Liability

The Club provides Members with independent food related information and opinion and makes information and opinion available relating to relevant food related services. While we endeavour to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the website or the information, products, services, or related graphics contained on the website for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

In no event will we be liable to Members or any third party for any loss or damage including without limitation, indirect or consequential loss or damage whatsoever arising, or for any loss of data, profit, revenue or business, howsoever caused arising out of, or in connection with, the use of this website.

Any information, recommendations and/or personal opinion expressed by the Club, other Members or otherwise provided on the Website is intended for Members’ information and guidance only and the Club does not accept any liability for the accuracy of any information provided or exchanged. Members should always seek a qualified opinion and rely on their own enquiries.

Where a Member provides a statement, comment, opinion or other information and this is placed on the Website, the Club does not accept any liability for such statements, comments and/or opinions and such a Member is entirely responsible for all content uploaded, posted or emailed via the Website by them. Under no circumstances will the Club be liable in any way for information placed on the Website by, or on behalf of, Members, including (without limitation) any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of anyone’s use of such content. A Member agrees that they must evaluate and bear all risks associated with the use of any content including any reliance on its accuracy or completeness.

Where Membership benefits and services are provided by a third party, the Club acts as an intermediary only and does not warrant the accuracy or level of service or benefit provided by that third party. The Club does not accept any liability for the level of service or benefits provided to Members by a third party or any loss or damage arising from such service or benefit.

The Club will not be liable for any failure to perform its obligations under these Terms & Conditions caused by matters beyond its reasonable control.

The aggregate liability of the Club under these Terms & Conditions (whether arising in negligence or otherwise) will not under any circumstances exceed the sum payable by a Member by way of their Membership Fee, regardless of the cause or form of action.

For clarification purposes, the Club does not exclude liability for death or personal injury caused by its own negligence or for the Club’s fraudulent misrepresentation.

Website etiquette

The Club reserves the right to suspend or terminate any Member’s access to the Members area of the Website, if the relevant Member or material appears to the Club to be in breach of any provision of the Terms & Conditions. The Club will remove a Member’s access to the Members area of the Website immediately if her/his Membership has been suspended or terminated.

Members are responsible for everything which they submit to or carry out on or through the Members area of the website.

The Members area of this Website is intended to be used by Members only and Members must not:

  • Submit to or place on material or otherwise use the Website for any business or commercial purpose;
  • use access to the Website, or information gathered from it, for the sending of unsolicited bulk email (sometimes known as ‘SPAM’); or
  • provide non-members with her/his access password to Members areas of the Website.

By accepting these Terms & Conditions, a Member agrees not to submit to, or place anything on, the Website or make any communication in connection with the Website that could be considered derogatory, slanderous, libellous, blasphemous, pornographic, false, unreliable, misleading or offensive by any user of the Website or Member or Director of the Club.

If a Member sees anything on the Website which appears to infringe these Terms & Conditions, then please contact the Director immediately.

Each Member acknowledges that the Club is entitled to withdraw any material on the Website which appears, whether based on information received from Members or others, on the Club’s own determination to be capable of breaching any part of these Terms & Conditions, or to bring the Club into disrepute.

The Club has no control over or responsibility for the truth or accuracy of any material available on the Website, whether provided by Members or others. If any third party sites are linked to from the Website, this does not mean that the Club endorses or has any responsibility for the site in question or anything which appears on it. Even though Members are prohibited from doing so, people may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Furthermore, you should note that people may not necessarily be who they say they are. Member’s use of the Website is entirely at their own risk. Accordingly, to the extent that the law permits, the Club and Proprietor exclude all liability arising out of or in connection with the Website and the material included by Members and third parties.

Unauthorised use of this website may give rise to a claim for damages and/or be a criminal offence.

A Member agrees to indemnify, and keep indemnified, the Club from and against all losses, claims, damages, costs, liabilities, proceedings and actions which the Club may sustain or incur or which may be brought or established against it by any person and which in any case arises out of in relation to or by reason of any statement, comment, opinion or information entered on the Website by that Member.

Every effort is made to keep the website up and running smoothly. However, the Club takes no responsibility for, and will not be liable for, the website being temporarily unavailable due to technical issues beyond our control.

Experiences

Each Member acknowledges that attendance at any of the Experiences offered by the Club is subject to these Terms and Conditions of Membership. The Proprietor is entitled to terminate or suspend Membership if any conduct which appears, whether based on information received from Members or others, on the Club’s own determination to be capable of breaching any part of these Terms & Conditions, or to bring the Club into disrepute.

Member’s refunds

Members can book tickets to any Experience via the Website. Members can choose to cancel a booking but cancelled bookings will not be refunded. However, Members can transfer the booking to another Experience (providing there is space available). The Member will be required to pay the difference if the Experience she/he is transferring to is of a higher price than the one booked. The Member will be refunded if it is of a lower price. If a Member cannot attend an Experience, she/he must contact the Club in advance to rearrange.

Changed or Cancelled Experiences

In the unfortunate event that a named presenter cannot attend an Experience or an Experience cannot take place, the Member will be offered the choice of an appropriate alternative or a full refund.

Disputes

Any disputes or complaints relating to matters affecting the Club’s Membership should be directed to the Director at the Fellow Foodies  address, in writing, within 14 days of the dispute or complaint arising. The Club aims to deal with all complaints and disputes within one month of receiving full written details.

Any dispute that may arise as to the meaning or interpretation of these Terms & Conditions or the governance of the Club shall be determined by the Proprietor.

Suggestions

The Club welcomes any suggestions a Member may have relating to the benefits and entitlements of Members and the Club Terms & Conditions and any such suggestions should be directed to the Director at the Fellow Foodies address.

Intellectual Property

This Website contains material which is owned by or licensed to us. This material includes, but is not limited to, the design, layout, trademark, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these Terms and Conditions.

All trademarks or photographs/pictures reproduced in this website, which are not the property of, or licensed to the operator, are acknowledged on the website.

The Club may be dissolved by the Proprietor at any time.

Law and Jurisdiction

These Terms & Conditions shall be governed by and controlled in accordance with the laws of England, Northern Ireland, Scotland and Wales.
